Creator Agreement

This Creator Agreement (Agreement) is between Zikaya Ltd (Zikaya, we, us) and each person who submits, shares or sells materials through Zikaya (Creator, you). It forms part of the Terms of Service, Acceptable Content Policy, Copyright Policy and our other platform rules (together, the Platform Terms). If this Agreement and the Terms of Service conflict on a matter about creators, documents, earnings or payouts, this Agreement applies. You accept this Agreement when you accept it in your account or submit a document under it.

1. Eligibility and accounts

You must be 18 or older, hold a verified account and give us true, complete and current identity, contact, country, tax and payout information whenever we ask for it. You may publish under a display name, but your verification and tax duties still apply. We decide which countries, payout methods and creators we support. We may refuse, limit or end creator access where the law or a payment or payout provider requires it, or where we consider there is a fraud, legal or reputational risk. You are responsible for all activity under your account.

2. Ownership and rights warranty

You keep ownership of your original work. You warrant for every document and each included element that you created it or have sufficient authorization to reproduce, display, distribute and license it through every channel you enable. You also warrant that it does not violate copyright, privacy, confidentiality, academic integrity or other third-party rights; is not a copy or recollection of live or proprietary exam content; and does not contain unauthorized instructor resources or identifiable patient data. Acknowledging a source does not by itself give you the right to redistribute it. If a document includes a third party's photograph, question, diagram or excerpt, you alone are responsible for having the necessary rights or a lawful exception. You further warrant that:

  • no fee or royalty is owed to any third party, including a collective management organization, because of the document's publication or sale on Zikaya;
  • the file contains no malware, and no digital rights management, password protection or other restriction that prevents Zikaya from processing, previewing or delivering it;
  • any part made with an artificial-intelligence tool is material you have the right to publish, and it is not Generated Material from Zikaya's own tools, which is for personal use only under the Terms of Service.

You give these warranties each time you submit, update or enable a channel for a document, and they continue for as long as it is available through Zikaya. Zikaya does not check ownership when it publishes a document and relies on these warranties.

3. License for operating the marketplace

You grant Zikaya Ltd the licenses set out in section 9 of the Terms of Service. They cover:

  • hosting and processing;
  • previews and accessible formats;
  • access by other users through the channels you enable;
  • operating and improving the Services;
  • study features that Zikaya offers now or in the future;
  • promotion of your listings on and off Zikaya, including embedded previews;
  • watermarks, Zikaya branding and a link back to your document's page, plus your creator display name and an order or download reference on delivered copies;
  • creating new materials from your documents, such as quizzes, practice questions, flashcards and summaries, by artificial intelligence or other means (Derived Materials), and offering or selling them to any user, on or off Zikaya;
  • developing, training, testing and improving artificial-intelligence and machine-learning models, whether operated by Zikaya or by others;
  • licensing or selling your documents, and datasets that include or are derived from them, to third parties for artificial-intelligence development, on terms Zikaya decides and for consideration Zikaya keeps.

Zikaya may sublicense these rights to service providers, affiliates, distribution partners and, for artificial-intelligence development, other third parties. These licenses do not transfer your copyright, and Zikaya will not present your document as its own independently authored work. To the extent the law allows, you waive, and agree not to assert, any moral rights against Zikaya and its licensees in connection with the uses in this section. Earnings arise only from Qualifying Sales under section 7; previews, promotion, Derived Materials, model development and dataset licensing do not create earnings unless Zikaya agrees otherwise in writing. Before making a document available to a third party for artificial-intelligence development, Zikaya will take reasonable steps to remove or de-identify personal information it identifies in it. The licenses continue after a document is delisted or your account closes to the extent needed to serve earlier buyers, keep published promotional material, maintain records and handle claims, and without limit for documents already used to develop models or included in datasets already made available.

4. Publication and accurate listings

Submit genuine educational materials with accurate titles, descriptions, page counts, categories, school and exam associations, edition and version information. Do not claim approval by a publisher, exam provider or school unless you have it in writing. We may run technical checks, duplicate detection, spot checks and moderation at our discretion. Publication is not a finding that you own the rights or that the document is accurate. We are not obliged to publish, promote or keep any document available, and we decide how listings are ranked, displayed and promoted. We may reject, unpublish or require changes to any document.

5. Distribution channels and versions

You may offer an eligible document version in Community Exchange, the Premium Marketplace, or both. Community Credit unlocks do not create earnings; only Qualifying Sales do. Earlier buyers and unlockers keep access to the version they acquired. A major new edition is a new version and is not included in earlier acquisitions. A minor correction may update an existing version where it does not materially change what buyers received.

6. Community Credits

Community Credits are awarded only after an eligible submission is accepted and published, in the amount shown during submission. They have no cash value, cannot be cashed out, sold, transferred or converted into Premium Credits, and are not wages or payment for services. We may refuse or reverse Community Credits for duplicate, manipulative, fraudulent or later-removed contributions.

7. Creator share and calculation

For each Qualifying Sale, you earn a Creator Share of 70% of the Sale Value. Zikaya keeps the remainder.

  • A Qualifying Sale is a completed purchase of your document in the Premium Marketplace, paid with money or Premium Credits and confirmed by our payment provider, that has not been refunded, reversed, charged back or found to be fraudulent or invalid. Community Credit unlocks and free, promotional or complimentary access granted by Zikaya are not Qualifying Sales.
  • The Sale Value is your listing price in US dollars at the time of the sale, excluding taxes. For a purchase with Premium Credits, it is your listing price in US dollars, not what the buyer paid for their credits or plan. Where we run a promotion, the promotion terms shown to you decide the Sale Value; if none are shown, your listing price applies.
  • We may deduct from your earnings any payment processing, currency conversion, payout or transfer fees, and any tax we are required to withhold, as shown in Creator Studio or the payout flow.
  • Our transaction records determine the Sale Value and your Creator Share, unless they contain an obvious error. If you believe a calculation is wrong, tell us within 90 days of the sale appearing in Creator Studio; after that, the record is final except where the law provides otherwise.
  • We may change the Creator Share or how the Sale Value is calculated by giving you at least 30 days' notice. A change applies only to sales made after it takes effect.

8. Pending, available and held earnings

Earnings are recorded as pending when a Qualifying Sale is made and become available after the clearing period shown in Creator Studio. We may change the clearing period for future sales. Pending earnings are not yet owed to you and cannot be withdrawn.

We may hold any of your earnings, pending or available, for as long as reasonably necessary where:

  • we suspect fraud, abuse, sale manipulation or a breach of the Platform Terms;
  • a refund request, chargeback, payment dispute or rights claim is open or reasonably expected;
  • identity, tax or payout verification is outstanding; or
  • the law, a court, a regulator or a payment provider requires it.

Earnings that are not affected by the reason for a hold become available again once it is resolved.

9. Payouts

You may request a payout once you have at least US$50 in available earnings, a verified payout account, completed identity and tax checks, and no hold on your account. We may change the minimum with notice. We decide which payout providers, currencies and countries we support and may add, change or withdraw them. Payout providers' own terms may also apply to you.

Payouts are made in US dollars unless we tell you otherwise, and conversion, provider and transfer fees are yours. Processing times are estimates. A payout sent to the payout details on your account counts as paid. We are not responsible for delays, losses or failures caused by payout providers, banks or incorrect details you give us.

10. Refunds, chargebacks and set-off

If a sale is refunded, reversed, charged back or found to be fraudulent or invalid, we will reverse the related earnings. If those earnings have already been paid to you, the amount is a debt you owe Zikaya. We may recover it, and any other amount you owe us under the Platform Terms, by deducting it from any of your current or future earnings, or by asking you to repay it within 30 days. Where a chargeback or reversal results from your content or conduct, we may also recover the fees charged to us. We will tell you about each adjustment, and you may ask us to review it through support. Adjustments are recorded as new entries; earlier records are not changed.

11. Delisting and earlier buyers

You may stop new sales of a document at any time in Creator Studio. Buyers and unlockers who already acquired it keep access, and the license in section 3 continues as needed to deliver it to them, keep records and handle claims. We may remove access for earlier buyers where we believe the law or a rights claim requires it. Delisting does not change earnings already recorded, except as section 10 allows.

12. Rights claims and repeat infringement

You must respond promptly, truthfully and fully to our inquiries about your rights in a document. When we receive a rights claim, we may disable the document or its sales, preserve evidence, hold related earnings, and share information with the claimant, authorities or our advisers where the law permits or requires. The Copyright Policy governs copyright reports and requests to review a removal. We may suspend or end your creator privileges for repeated or serious infringement. We handle your personal information under our Privacy Policy.

13. Indemnity

To the extent permitted by law, you will defend, indemnify and hold harmless Zikaya Ltd, its affiliates, officers, employees and service providers against all claims, losses, liabilities, damages, fines, settlements and costs, including reasonable legal fees, arising from:

  • your documents or other content;
  • your breach of this Agreement or the Platform Terms; or
  • your violation of any law or third-party right.

This does not apply to the extent a loss is caused by Zikaya's own fraud or wilful misconduct. We may control the defense of any claim, and you will cooperate with us. You may not settle a claim that affects Zikaya without our written consent.

14. Final settlement on closure

If your creator account closes for any reason, we will pay your available earnings, even if below US$50, after the clearing period and after refunds, chargebacks, holds, deductions and set-off under this Agreement, once you have completed any required verification and given us a supported payout method. We may take up to 90 days after closure to finalize your account. Earnings arising from fraud, sale manipulation or content that infringed third-party rights are not payable, and we may apply them to related refunds and claims. If we cannot pay you after reasonable attempts to reach you through your account details, we will deal with the balance as applicable unclaimed-property law requires.

15. Independent relationship and taxes

You are an independent contractor. This Agreement creates no employment, partnership, joint venture or agency relationship, and you have no authority to bind Zikaya. You alone are responsible for registering for, reporting and paying any taxes on your earnings. We may collect tax information, withhold tax and report payments to tax authorities where we believe the law requires it, and amounts withheld count as paid to you.

16. Restrictions and termination

We may refuse or remove any document, limit or suspend selling, hold earnings, or suspend or end your creator privileges where we reasonably believe you have breached the Platform Terms, where there is a fraud, security, legal or rights risk, where a provider requires it, or where we stop offering creator features in your country. Where the law requires, we will give you notice, reasons and a way to contest the decision. You may end this Agreement at any time by closing your creator account. Sections 2, 3, 10 to 15, and 18 to 19 continue after this Agreement ends.

17. Changes and notices

We may change this Agreement. We will notify you of material changes by email or in your account at least 15 days before they take effect, except for changes required by law or needed to address fraud, security or legal risk, which may take effect sooner. If you keep using creator features after a change takes effect, you accept it; if you do not accept it, you must stop using creator features and may close your creator account. Notices are sent to your account email and count as received when sent.

18. Disclaimers and limitation of liability

Zikaya does not guarantee any sales, income, buyer demand, placement or ranking, or that the service or any listing will be available without interruption. Creator features are provided as is, to the extent permitted by law.

To the extent permitted by law, Zikaya is not liable to you for lost profits, lost sales or earnings, loss of opportunity, or any indirect or consequential loss. Zikaya's total liability to you under this Agreement in any 12-month period is limited to the greater of US$100 or the Creator Share paid or payable to you in that period. Nothing in this Agreement limits liability that cannot be limited by law. The governing-law and disputes provisions of the Terms of Service apply to this Agreement.

19. General

If any part of this Agreement is unenforceable, the rest continues to apply. A delay or failure to enforce a right is not a waiver of it. Zikaya may assign or transfer this Agreement, including as part of a reorganization, merger or sale of the business; you may not assign or transfer it without our written consent. This Agreement and the Platform Terms are the whole agreement about your creator activity. If this Agreement is translated, the English version prevails.
